MCA debt in Idaho
With about 207,700 small businesses employing around 56% of the workforce (SBA 2025 profile), Idaho has a large base of owners using short-term financing. Health care, construction and restaurants lead small-business employment.
Idaho MCA law: what actually protects you
Disclosure requirements
There is no Idaho law requiring MCA providers to disclose an APR or total cost of financing. You'll need to work out the real cost yourself, or with an advisor.
Judgment by confession
Idaho voids confessions of judgment in regulated consumer credit. For a business MCA, have any confession clause reviewed by an Idaho attorney.
Is an MCA subject to usury limits?
Idaho has no general interest cap on rates agreed in writing; the 12% figure applies only when there's no written agreement (Idaho Code 28-22-104). Usury rarely helps an Idaho business.
A nearby precedent
In 2021 a Montana bankruptcy court (CapCall v. Foster, In re Shoot the Moon) treated a restaurant group's MCAs as loans despite a New York choice-of-law clause. The group operated in Montana, Idaho and Washington. It applied Montana law, but it shows courts in the region will look past an MCA's label.
What this means for Idaho owners
Idaho's rules on confessions of judgment in business contracts aren't as clear-cut as in some states, so treat any confession clause as live until an attorney tells you otherwise. On the rate side, Idaho law gives business borrowers little usury protection, so your leverage is more likely to come from the reconciliation clause, documentation of your revenue and a clear plan for each funder.
