MCA debt in Missouri
Missouri has about 590,000 small businesses employing roughly 1.1 million people, according to the SBA Office of Advocacy's 2025 profile. Health care, restaurants, construction and retail lead small-business employment.
Missouri MCA law: what actually protects you
Commercial Financing Disclosure Law (RSMo 427.300)
Enacted in 2024, Missouri's law requires providers of MCAs and other commercial financing of $500,000 or less to disclose the total funds provided, the amount disbursed, total repayment, total cost, the payment schedule and prepayment terms. Banks and providers doing five or fewer deals a year are exempt. The Attorney General enforces it; there is no private lawsuit right.
Brokers must register
Commercial financing brokers must register with the Missouri Division of Finance, post a $10,000 surety bond, renew each January and disclose certain criminal history. If a broker arranged your MCA, check that it's registered.
Confessions of judgment
Missouri allows confessions of judgment by statute (RSMo 511.070 to 511.100). Funders can no longer file confessions against out-of-state merchants in New York courts, but a Missouri filing may still be possible, so have the clause reviewed.
Usury
Missouri lets corporations, LLCs and partnerships, and anyone borrowing mainly for business purposes, agree to any rate in writing (RSMo 408.035). Usury arguments under Missouri law are therefore weak; the New York law most contracts choose may offer more.
If you're behind on an MCA in Missouri
- Check the broker's registration with the Division of Finance.
- Look for a confession of judgment in your closing documents.
- Collect your disclosures and compare total repayment with what you've already paid.
- Model the whole stack before refinancing. See how reverse consolidation works.
How we help Missouri owners
We are a flat-fee, independent MCA debt advisory firm based at 30 Montgomery Street in Jersey City, New Jersey, working with business owners nationwide by phone and video. We don't lend, we don't broker, and we don't take a percentage of any settlement, so our only job is to show you which path actually fits your numbers. A typical engagement starts with a free 30-minute review of your MCA contracts, your bank statements and any offers you've received, followed by a written plan comparing reconciliation, renegotiation, refinancing, settlement through a licensed provider, or attorney review.
