MCA debt in South Dakota
According to the SBA Office of Advocacy, South Dakota is home to about 96,800 small businesses employing roughly 58% of its workforce. Most of those jobs are in health care, restaurants and retail, and owners in those sectors are frequent targets of MCA offers.
South Dakota MCA law: what actually protects you
Cost disclosure rules
South Dakota is not among the states that require standardized MCA cost disclosures. That makes an independent review of each offer more important.
Confession-of-judgment rules
South Dakota allows confessions of judgment based on a verified statement (SDCL ch. 21-26). Have any confession in your MCA reviewed.
Usury and rate caps
South Dakota has no maximum rate between parties who agree in writing (SDCL 54-3-1.1), so usury doesn't help a business with an MCA.
What this means for South Dakota owners
Because South Dakota still allows confessions of judgment, a funder may be able to get a judgment quickly if you signed one. Find out before you miss a payment, not after. On the rate side, South Dakota law gives business borrowers little usury protection, so your leverage is more likely to come from the reconciliation clause, documentation of your revenue and a clear plan for each funder.
