MCA debt in Minnesota
According to the SBA Office of Advocacy, Minnesota is home to about 560,400 small businesses employing roughly 46% of its workforce. Most of those jobs are in health care, restaurants and manufacturing, and owners in those sectors are frequent targets of MCA offers.
Minnesota MCA law: what actually protects you
Cost disclosure rules
Minnesota is not among the states that require standardized MCA cost disclosures. That makes an independent review of each offer more important.
Confession-of-judgment rules
Minnesota allows a confession of judgment without a lawsuit if the debtor files a signed, verified statement, and the judgment can be enforced immediately (Minn. Stat. 548.22).
Usury and rate caps
Minnesota exempts credit to corporations, LLCs and partnerships and loans of $100,000 or more from its general rate limits (Minn. Stat. 334.01 and 334.022).
A high-profile challenge
In January 2025, a well-known Minnesota company filed suit in Carver County alleging that a $2 million MCA was a disguised loan at an effective rate of about 385%. Cases like this show MCA terms are being tested in Minnesota courts.
What this means for Minnesota owners
Because Minnesota still allows confessions of judgment, a funder may be able to get a judgment quickly if you signed one. Find out before you miss a payment, not after. On the rate side, Minnesota law gives business borrowers little usury protection, so your leverage is more likely to come from the reconciliation clause, documentation of your revenue and a clear plan for each funder.
