MCA debt in Ohio
Ohio has about 1.1 million small businesses employing roughly 2.2 million people, according to the SBA Office of Advocacy's 2025 profile. Health care, restaurants, manufacturing and retail lead, and Ohio's manufacturers often carry MCAs to bridge long customer payment terms.
Ohio MCA law: what actually protects you
Cognovit clauses need a warning
Ohio permits cognovit judgments on business contracts under R.C. 2323.13, but the judgment must be taken in the county where a maker lives or signed, and the document must carry a conspicuous warning, beginning "Warning—By signing this paper you give up your right to notice and court trial," directly above or below the signatures. Without it, the warrant is invalid. Cognovits are invalid in consumer transactions.
No disclosure law
Ohio has not enacted a commercial financing disclosure law, so funders don't have to show you a standardized cost or APR.
Usury and how courts treat MCAs
Ohio's 8% default cap has exemptions for business loans and loans over $100,000 (R.C. 1343.01). Still, in July 2025 a federal bankruptcy court in northern Ohio (In re Butler Trucking v. CashFloit) refused to dismiss a merchant's challenge, saying a "not a loan" label doesn't decide the question and that whether an MCA is a sale or a loan depends on the facts.

How we help Ohio owners
We are a flat-fee, independent MCA debt advisory firm based at 30 Montgomery Street in Jersey City, New Jersey, working with business owners nationwide by phone and video. We don't lend, we don't broker, and we don't take a percentage of any settlement, so our only job is to show you which path actually fits your numbers. A typical engagement starts with a free 30-minute review of your MCA contracts, your bank statements and any offers you've received, followed by a written plan comparing reconciliation, renegotiation, refinancing, settlement through a licensed provider, or attorney review.
